Terms of Service

1. Acceptance of terms

By downloading, accessing, or using the Keys mobile application ("the App"), operated by Best Day Labs ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the App.

2. Description of service

Keys is a music learning tool that imports audio from online videos and uses machine learning to transcribe the piano part as MIDI. Users can play along on a virtual keyboard, practice with adjustable speed and section looping, scan sheet music, and contribute transcriptions to a community catalog.

3. Subscription & payment

Keys requires an active subscription to access its features. Subscriptions are billed through Apple's App Store and are subject to Apple's terms regarding auto-renewal, cancellation, and refunds. Pricing and plan details are displayed in the App prior to purchase. You can manage or cancel your subscription at any time through your Apple ID account settings.

4. Promotional & affiliate codes

From time to time we may offer promotional, creator, or affiliate codes that unlock a free trial, discount, or other benefit. Unless stated otherwise, such codes have no cash value, are non-transferable, may be limited to one redemption per user, cannot be combined with other offers, and may be modified or revoked by us at any time. Codes are void where prohibited and may not be sold, resold, or used in any deceptive or fraudulent manner. We may disqualify redemptions and suspend accounts that we reasonably believe have abused a code or participated in fraudulent redemption activity.

5. User-generated content

When you publish a transcription to the community catalog, you grant Best Day Labs a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that transcription within the App. You retain ownership of your contributions and may request their removal at any time by contacting us. You represent and warrant that you have all rights necessary to publish the content you submit and that it does not infringe the rights of any third party.

6. Respecting source material

You agree to use Keys only to transcribe content you have the right to transcribe. Do not import videos that you do not own or that are not licensed for personal use. You are solely responsible for the content you import, transcribe, or publish. Best Day Labs is not responsible for user content and may remove user-submitted content that infringes on third-party rights.

7. Copyright policy & DMCA takedown

Best Day Labs respects the intellectual-property rights of others and responds to clear notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA"). If you believe that content available in the App infringes your copyright, please send a written notice to our designated agent at support@bestdaylabs.com (subject line: "DMCA Notice") that includes:

• a physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
• identification of the copyrighted work claimed to have been infringed;
• identification of the material that is claimed to be infringing and information reasonably sufficient to let us locate it within the App;
• your contact information (name, address, telephone number, and email);
• a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
• a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

We will remove or disable access to allegedly infringing material as appropriate and, where applicable, forward the notice to the user who submitted it. If you believe your content was removed in error, you may submit a counter-notice to the same address. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.

8. Accuracy disclaimer

Piano transcription is performed by machine-learning models and is not guaranteed to be note-perfect. Keys is intended as a practice and learning aid, not as a definitive musical transcription. Sheet music scanning is similarly approximate. We make no warranty regarding the accuracy of any transcription.

9. Acceptable use

You agree to use Keys only for personal, non-commercial music learning purposes. You agree not to reverse-engineer the App, abuse or attempt to gain unauthorized access to our API or servers, circumvent usage limits, or use Keys in any way that could harm the service or other users.

10. Third-party content

The Keys catalog includes public-domain classical pieces sourced from the Mutopia Project under Creative Commons licenses (CC0, CC-BY, and CC-BY-SA). Engraver attribution and license details are listed in the App's Credits screen. Other catalog content is contributed by Keys users under the license described in Section 5.

11. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms or if we reasonably believe your conduct may harm Best Day Labs, other users, or third parties. You may stop using the App at any time and delete your account from within the App. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

12. Disclaimer of warranties

The App is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Best Day Labs disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and makes no warranty regarding the App's reliability, accuracy, availability, or suitability for your specific needs.

13. Limitation of liability

To the maximum extent permitted by law, Best Day Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the App. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the App or these Terms will not exceed the greater of the amount you paid us in the twelve (12) months before the event giving rise to the claim, or twenty U.S. dollars (US$20). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Best Day Labs and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) content you import, transcribe, or publish through the App; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party, including intellectual-property rights.

15. Apple-specific terms

These Terms are between you and Best Day Labs only, not with Apple, and Apple is not responsible for the App or its content. Your use of the App must comply with the App Store Terms of Service. Apple has no obligation to provide maintenance or support for the App. To the extent the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Changes to terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to use the App after revisions become effective, you agree to be bound by the revised terms.

17. Governing law & venue

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict-of-law provisions. You agree that any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Alabama, and you consent to personal jurisdiction and venue there. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your place of residence.

18. Severability & entire agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any applicable App Store terms, constitute the entire agreement between you and Best Day Labs regarding the App and supersede any prior agreements. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
